1. COMMITMENT

Coaching is an ongoing relationship between a coach/facilitator and a client or clients/team. The opportunity for success for the coaching client or clients dramatically increases because changing habits and creating possibilities is a process. Coaching is a structure that facilitates personal, professional, and/or spiritual development for individuals and teams. The parties agree that the coaching relationship will be designed together. By entering this relationship, the Coach and Client(s) acknowledge that the Client wants to make significant progress and changes in their life. Private coaching is provided online via Zoom or phone unless otherwise agreed upon.

2. PARTIES TO THIS AGREEMENT

The Client employs the Coach and Facilitator to provide independent coaching services.

3. INDEPENDENT CONTRACTORS

Both the Coach and the Client agree that the relationship created by this Agreement is that of an independent contractor and not that of an employee and employer.

4. SERVICES TO BE PROVIDED

During the length of the contract, the Coach shall serve the Client and perform coaching services as agreed upon via email or through a purchase on the website. The Coach may also provide supervisory and advisory services when requested and discussed in advance. Coaching is provided online via Zoom unless otherwise arranged. In almost all cases this contract is for coaching only and expires six months after the first session. The contract includes relevant content, monthly truth logs (if applicable), and other materials as needed.

5. PAYMENT TO THE COACH

The Client agrees to pay the Coach for services as agreed upon via email or through the website purchase. Payments will be made according to the guidelines outlined in the invoice(s)/ provided.

6. CONFIDENTIALITY

The Coach acknowledges that the Client may share sensitive or proprietary information, including but not limited to passwords, customer lists, pricing data, supply sources, techniques, computerized data, product design information, market strategies, benchmarks, and other confidential and proprietary information. The Coach agrees to maintain the confidentiality of this information and not disclose or duplicate it without the Client’s written consent. The Coach further agrees not to solicit the Client’s customers or potential customers after the termination of this Agreement while making use of the Client’s confidential material.

7. TERMS OF AGREEMENT

This Agreement shall become effective upon purchase or written agreement via email.

8. ENTIRE AGREEMENT

This Agreement represents the entire understanding between the Client and the Coach regarding coaching services. It can only be modified in writing and signed by both parties.

9. GOVERNING LAW

This Agreement shall be interpreted according to the laws of Japan.
